By accessing or using the VisitPerks website and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this site.
Permission is granted to temporarily use VisitPerks for personal or commercial business purposes (as a Merchant). This is the grant of a license, not a transfer of title, and under this license you may not:
As a Merchant, you are responsible for maintaining the confidentiality of your login credentials and the Staff Access Code provided by our system. You agree to accept responsibility for all activities that occur under your account or via your Staff Access Code.
You are responsible for ensuring that your customers' data (specifically email addresses) is collected and used in compliance with applicable data protection laws (including our Privacy Policy).
We strive for 100% uptime but cannot guarantee that the service will be uninterrupted or error-free. We reserve the right to modify, suspend, or discontinue the service at any time without notice. We also reserve the right to terminate or suspend your account at any time, for any reason, without liability. We shall not be liable to you or any third-party for any modification, suspension, termination, or discontinuance of the service.
You are solely responsible for the rewards you offer through the platform. VisitPerks does not fulfill rewards or guarantee the quality of goods/services offered by Merchants to End Users.
We reserve the right to remove any content or suspend accounts that violate these terms, including fraudulent redemption activity or spamming.
You agree to indemnify, defend, and hold harmless VisitPerks and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your (or anyone using your account's) violation of these Terms, your use of the platform, your reward programs, or your fulfillment or failure to fulfill rewards to your customers.
The VisitPerks platform is provided on an "AS IS" and "AS AVAILABLE" basis. VisitPerks expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranty that the service will meet your requirements or that the service will be uninterrupted, timely, secure, or error-free.
VisitPerks shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the services.
Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, shall be determined by binding individual arbitration, rather than in court. You and VisitPerks agree to waive the right to a trial by jury or to participate in a class action or representative proceeding.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
These terms shall be governed and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.
